The essay, after briefly reviewing the emergence of golden powers in some European systems and the jurisprudence of the Court of Justice of the EU, analyse the current discipline provided for by Italian Decree-Law no 21/2012, also considering the recent changes introduced following the approval of Regulation (EU) 2019/452 on foreign direct investments in the European Union. In particular, the article intends to assess whether the rules on golden powers can be applied and coordinated consistently with the various provisions of company law. Finally, the work considers the innovations introduced by the Italian Decree-Law no 23/2020 (the so-called “liquidity decree”) in response to the problems raised by the Covid-19 pandemic.

Il saggio, ripercorsa brevemente la genesi dei poteri speciali in alcuni ordinamenti europei e la giurisprudenza della Corte di giustizia, analizza la disciplina prevista dal d.l. n. 21/2012, e le recenti modifiche introdotte a seguito dell’approvazione del Regolamento (UE) 2019/452 in tema di investimenti esteri diretti nell’Unione europea. In particolare, l’articolo intende valutare se la disciplina sui poteri speciali possa trovare coerente applicazione e coordinamento con i diversi istituti previsti di diritto societario. Infine, il lavoro si trattiene sulle novità introdotte dal d.l. n. 23/2020 (c.d. Decreto liquidità) in risposta ai problemi sollevati dalla pandemia da Covid-19.
